Experience


Areas of William F. Ziprick's ("WFZ") experience over the past decades in the legal field include negotiating, structuring and preparing documentation for numerous multi-million dollar transactions (with several in excess of $100 million), including:

  • Real estate acquisitions and leases
  • Strategic affiliations, acquisitions and divestments
  • Sophisticated equipment purchase contracts
  • Complex contract negotiations and preparation
  • Numerous secured and unsecured financing transactions, which collectively number in the tens of millions of dollars
  • Extensive due diligence related to numerous business affiliations and acquisitions.


For almost two decades, WFZ served as the primary corporate General Counsel for a major university healthcare system (with numerous hospitals, clinics, real estate holdings, and affiliated non-profit and for profit entities). In this role, WFZ’s duties included advising on all corporate, contract and business matters, and making numerous presentations and recommendations to the Board of Directors, Executive Committees and Officers for all of the various entities of the healthcare system.


WFZ’s experience also includes serving as General Counsel and Chief Financial Officer for a successful west coast real estate development/senior housing company, where his responsibilities included the following:

  1. Managing relationships with numerous lending institutions (including HUD, national and regional lending institutions), which included construction and permanent financing in excess of $70 million in the aggregate.
  2. Overseeing the planning, development and construction process, from conceptual idea to completion, for an approximate 150,000 square foot senior housing campus in Southern California, which included the following: site selection process, real estate acquisitions, obtaining approvals and permits, construction contracts, procuring the necessary bonding and financing, and overseeing the construction draw process.
  3. Successfully negotiating and closing numerous sale transactions, including the sale of 12 senior living facilities, with eight of the facilities being sold to a real estate investment trust and its affiliated entities. This multi-year process also involved simultaneously obtaining the required approvals from numerous lenders and state regulatory agencies.
  4. Overseeing and directing the overall financial plans, including policies, accounting system and practices, and operating and capital budgets, and working closely with the companies’ certified public accountants on tax, financial statement and tax return preparation issues.
  5. Overseeing and coordinating all legal issues for the company.

  6. Developing and implementing business plans and evaluating new business

    opportunities.
